These Terms of Service (the “ToS”) apply to the agreement between the Client, as referenced in the Master Service Agreement (the “Agreement”), and 8528608 CANADA INC., doing business as HalfSerious (the “Vendor”). These ToS outline the conditions under which the Vendor provides the Client with access to the Squadbox solution (the “Solution”).
Subject to all limitations and restrictions herein and in the Agreement, the Vendor grants the Client and affiliates identified in the Master Services Agreement a non-exclusive, non-transferable License to access and use the Solution, as provided by the Vendor, solely for the functions described in the Solution’ documentation. Use
Client will have a limited right to use the Solution solely for its internal business purposes.
Client shall not permit Users or any other third party to: (a) copy, create a derivative work of, or modify the Solution in any manner or form unless expressly allowed in writing; (b) obtain unauthorized access to the Solution (including without limitation permitting access to or use of the Solution via another system or tool, the primary effect of which is to enable input of requests or transactions by individuals other than authorized Users); (c) use the Solution in a manner that violates any third-party rights of privacy or Intellectual Property Rights; (d) showcase or demonstrate the Solution to any third party without the prior written consent of the Vendor.
Unless otherwise specifically provided in the Agreement, “Authorized Users” will consist solely of employees of the Client and affiliates identified in the Master Services Agreement. The Client shall not permit any third parties, including but not limited to, contractors, parent companies, subsidiaries, affiliated entities, or any other third parties, to access the Solution. The Client is fully responsible for ensuring that only its employees, affiliates identified in the Master Services Agreement and their employees’ access and use the Solution in accordance with these ToS and the Agreement.
Input and Output
Client may input information in the Solution and the Solution may provide output to Client based on the information inputted by Client (collectively, “Client Content”). Client hereby grants to Vendor a non-exclusive, worldwide, limited, revocable, royalty free and fully paid-up license to use Client Content for the sole purpose of providing and performing the Solution for the Client’s benefit.
